Terms of Service
Last updated: 29 September 2026
These Terms of Service ("Terms") form a binding agreement between you and PRTO ("we", "us", or "our"), incorporated in Brunei Darussalam. They govern your access to and use of PRTO, a productivity web application accessible at prto.app.
By creating an account, joining the waitlist, or using PRTO, you agree to these Terms. If you do not agree, do not use PRTO.
1. The Service
PRTO is a prioritisation and task-management application built on the 80/20 (Pareto) model. The Service lets you:
- Organise work into Areas, Things, and Notes
- Prioritise with lenses, focus views, and top-item selection
- Import tasks from third-party services you choose to connect
- Optionally participate in organisations shared with other users
PRTO is currently in beta. Features, interfaces, and limits may change as the product evolves. We will aim to avoid breaking changes, but the Service is provided on a continuous-development basis.
2. Eligibility and Accounts
2.1 Eligibility
You must be at least 13 years old to use PRTO. If you are under the age of majority in your jurisdiction, you must have a parent or guardian's consent. By creating an account, you represent that you meet these requirements.
2.2 Account Registration
You may register with an email address and password, or via Google Sign-In. You agree to provide accurate information and keep it current.
2.3 Account Security
You are responsible for all activity under your account and for safeguarding your credentials, including:
- Your account password
- Your encryption passphrase (if you set one)
- Your recovery phrase and recovery kit (if you enable recovery escrow)
If you suspect unauthorised access, notify us immediately at afiq_rosli@live.com.
3. Client-Side Encryption and the Recovery Boundary
This section is important. Please read it carefully.
3.1 What We Can and Cannot Do
Your content (Areas, Things, Notes) is encrypted in your browser before it reaches our servers. PRTO stores only encrypted envelopes and encrypted ("wrapped") copies of your encryption keys. We cannot decrypt your content. No PRTO-held secret, alone or combined with our database, can reconstruct the keys that unlock your data.
3.2 The Hard Boundary
Because of this design:
- We cannot recover your content if you lose access to all of your key-unlocking secrets (your encryption passphrase and, where applicable, your recovery phrase and recovery kit).
- Loss of all recovery materials is permanent. If you lose them, your encrypted content cannot be restored by us or by anyone else.
- An optional recovery escrow releases a share to you after a 24-hour hold — but it still requires your recovery phrase or recovery kit to work. It is a safety net, not a backup service.
3.3 Your Responsibility
You acknowledge and accept that the confidentiality of your content comes with this trade-off: you are solely responsible for preserving your recovery materials. We strongly recommend completing the recovery setup and storing your recovery kit and phrase offline in a safe place.
4. Subscriptions and Billing
4.1 Plans
PRTO offers paid subscriptions, currently priced at $7 USD per month as shown at checkout. Pricing is displayed before you pay and may change with notice (see Section 12).
4.2 Free Trial
New subscriptions begin with a 14-day free trial. You will not be charged until the trial ends. If you cancel before the trial ends, you will not be charged at all.
4.3 Billing via Polar
Payments are processed by Polar Software, Inc., our merchant of record. Polar handles payment collection, taxes, and receipts. By purchasing, you also agree to Polar's buyer terms. We never see or store your card details.
4.4 Cancellation and Refunds
- You can cancel anytime. Cancellation takes effect at the end of the current paid period; you keep access until then.
- All payments are final. We do not offer refunds for partial billing periods, unused time, or early-supporter contributions, except where required by applicable law.
- Waitlist or early-supporter payments grant the benefits described at checkout at the time of purchase.
To cancel, manage your subscription in the app or contact afiq_rosli@live.com.
5. Third-Party Integrations
5.1 Connected Services
You may optionally connect third-party task managers (Todoist, TickTick, Microsoft To Do, Google Tasks). When you do:
- You authorise PRTO to access your data in that service with read-only scope. We never write to or modify your data in connected services.
- The provider is a separate controller of your data; your use of that service is governed by its own terms and privacy policy.
- You represent that you are authorised to import that content and that doing so does not violate the provider's terms or any third party's rights.
5.2 Disconnecting
You can disconnect a service at any time in PRTO or by revoking access at the provider. Disconnecting deletes your stored access tokens; already-imported items remain in your account until you delete them.
5.3 Trademarks
Todoist is a trademark of Doist Inc. TickTick is a registered trademark of Appest Inc. Microsoft To Do is a trademark of Microsoft Corporation. Google Tasks is a trademark of Google LLC. All other product names and trademarks mentioned in the Service are the property of their respective owners. PRTO is not created by, affiliated with, or supported by any of these providers.
6. Your Content
6.1 Ownership
You retain all ownership of the content you create or import into PRTO. We claim no intellectual property rights over your content.
6.2 Limited Licence
You grant us a limited, non-exclusive licence to store, process, and transmit your content only as necessary to operate the Service — for example, storing encrypted envelopes, delivering your data to your devices, and sending transactional emails. Because your content is client-side encrypted, this licence does not and cannot include the right to read it.
6.3 Feedback
If you submit feedback or suggestions, you grant us permission to use them to improve the Service without compensation or obligation.
7. Acceptable Use
You agree not to:
- Use the Service for anything unlawful, harmful, or fraudulent, or to store or distribute illegal content
- Attempt to breach, probe, or circumvent security measures — including authentication, encryption, rate limits, or abuse-prevention systems
- Interfere with the Service or its infrastructure (including denial-of-service attempts)
- Scrape, harvest, or bulk-extract data from the Service
- Impersonate others or misrepresent your affiliation
- Share your account credentials, or resell access to the Service
- Upload content that infringes others' intellectual property or privacy rights
- Use the Service to build a competing product or to benchmark it for publication without our written consent
We may suspend or terminate accounts that violate these rules, with notice where practicable.
8. Organisations and Invitations
If the organisation feature is available to you:
- Organisation creators and owners are responsible for the members they invite
- You may only invite people whose email addresses you are entitled to use
- Content shared within an organisation may be visible to members according to your role and settings — share accordingly
9. Availability and Beta Status
- No uptime guarantee. The Service is provided on a best-effort basis. We aim for high availability but do not promise uninterrupted access.
- Beta software. Features may be added, changed, or removed. We will try to preserve your data and give advance notice of breaking changes where feasible.
- Maintenance and incidents. The Service may be unavailable during maintenance or outages. Follow our status communications where provided.
Nothing in this section limits rights you hold under non-waivable consumer protection law.
10. Intellectual Property
PRTO, its code, design, branding, and documentation are owned by us and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service as intended — nothing more. You may not copy, modify, distribute, or create derivative works of the Service itself.
11. Disclaimers and Limitation of Liability
11.1 Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that defects will be corrected.
11.2 Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or lost business — arising from your use of the Service.
- Our aggregate liability for all claims relating to the Service is limited to the greater of USD $100 or the total amount you paid us in the 12 months preceding the claim.
- Because your content is end-to-end encrypted and cannot be decrypted by us (see Section 3), we accept no liability for content rendered inaccessible through loss of your passphrase, recovery phrase, or recovery kit.
11.3 Non-Waivable Rights
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — including liability for fraud, gross negligence, or wilful misconduct, or consumer rights that cannot lawfully be waived.
12. Changes to These Terms
We may update these Terms from time to time.
- Material changes: we will notify you by email and/or a prominent in-app notice at least 30 days before they take effect
- Minor changes: we will update the "Last updated" date above
- Continued use of the Service after changes take effect constitutes acceptance. If you do not agree to updated Terms, stop using the Service and delete your account.
13. Termination
13.1 By You
You may stop using PRTO at any time. To delete your account and data, contact afiq_rosli@live.com — deletion is handled as described in our Privacy Policy.
13.2 By Us
We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us or other users, or fail to pay amounts due. Where practicable, we will notify you and give you a chance to cure the breach first.
13.3 Effect
On termination, your right to use the Service ends. Sections that by their nature should survive (including content ownership, disclaimers, limitation of liability, and governing law) survive termination.
14. Governing Law and Disputes
These Terms are governed by the laws of Brunei Darussalam, without regard to conflict-of-law principles.
- You agree to first contact us at afiq_rosli@live.com to attempt informal resolution of any dispute.
- If a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the courts of Brunei Darussalam, except where applicable consumer law grants you the right to bring claims in your local courts.
15. General
- Entire agreement: These Terms, together with the Privacy Policy, are the entire agreement between you and PRTO.
- Severability: If any provision is found unenforceable, the rest remain in effect.
- No waiver: Our failure to enforce a provision is not a waiver of it.
- Assignment: You may not transfer your account or these Terms without our consent. We may assign them as part of a merger, acquisition, or sale of assets.
- Notices: We may notify you via the email on your account or in-app notices.
